Terms of Service

Welcome to AdPath. These Terms of Service (“Terms”) govern your use of the AdPath website, services, and communications. By accessing our website, engaging our services, or providing your contact information to AdPath, you agree to these Terms. If you do not agree, please do not use our services.

1. About AdPath

AdPath is a marketing agency operated by AdPath LLC (“AdPath,” “we,” “us,” or “our”), a limited liability company based in Wilmore, Kentucky. We provide paid advertising management, content production, lead generation, and related marketing services to business clients, primarily in the home services industry.

2. Services

AdPath provides marketing services to business clients (“Clients”), which may include but are not limited to:

  • Meta (Facebook and Instagram) advertising campaign strategy, setup, management, and optimization
  • Content production for social media platforms including TikTok, Instagram, and YouTube
  • Lead generation systems and sales pipeline support
  • Marketing automation and workflow development
  • Strategic consulting related to client acquisition

The specific scope, deliverables, fees, and term of any engagement will be defined in a separate written agreement, statement of work, or proposal between AdPath and the Client.

3. Eligibility

Our services are intended for business owners, decision-makers, and authorized representatives of legitimate businesses. By engaging AdPath, you represent that you are at least 18 years old and have the authority to enter into agreements on behalf of your business.

4. Client Engagements

Engagements with AdPath are governed by a separate signed agreement or accepted proposal that specifies scope, fees, payment terms, and termination provisions. These Terms apply alongside any such agreement; in the event of a conflict, the signed engagement agreement controls.

Clients are responsible for providing accurate information, timely feedback, necessary access to advertising platforms and accounts, and any required brand assets. AdPath is not responsible for delays or performance issues resulting from incomplete or inaccurate information provided by the Client.

5. Payment

Fees, payment schedules, and accepted payment methods are specified in each Client’s engagement agreement. Unless otherwise agreed in writing, fees are non-refundable once services have been rendered. Late payments may result in suspension of services.

6. Communications and SMS Messaging

By providing your phone number to AdPath — including through our website, lead forms, sales calls, or any other touchpoint — you consent to receive communications from AdPath via phone calls, email, and SMS text messages.

SMS messages may include:

  • Appointment confirmations and reminders
  • Follow-ups after sales calls or meetings
  • Time-sensitive responses to inbound inquiries
  • Updates regarding active engagements
  • Other business-related communications

SMS Terms:

  • Message frequency varies based on your relationship with AdPath and the nature of our communications.
  • Message and data rates may apply per your mobile carrier’s plan.
  • You may opt out of SMS messages at any time by replying STOP to any message you receive from us.
  • For assistance, reply HELP to any message or contact us at eli@adpath.agency.
  • Mobile carriers are not liable for delayed or undelivered messages.
  • Consent to receive SMS messages is not a condition of purchasing any AdPath services.

We will not share your phone number or SMS consent information with third parties or affiliates for their own marketing or promotional purposes.

7. Privacy

Your use of our services and our communications with you are also governed by our Privacy Policy. By using our services, you consent to the collection and use of your information as described in the Privacy Policy.

8. Intellectual Property

All content on the AdPath website — including text, graphics, logos, branding, written materials, and proprietary methodologies — is owned by AdPath LLC or its licensors and is protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from this content without our prior written consent.

Deliverables produced for Clients (such as ad creative, written copy, and campaign assets) are governed by the ownership and licensing terms set forth in the applicable engagement agreement.

9. Acceptable Use

You agree not to use the AdPath website or services to:

  • Violate any applicable law or regulation
  • Infringe on the intellectual property rights of others
  • Transmit harmful, fraudulent, or misleading content
  • Interfere with the security or operation of our website or services
  • Misrepresent your identity or business

We reserve the right to refuse service, terminate engagements, or restrict access to anyone we believe has violated these Terms.

10. Disclaimers

AdPath provides marketing services intended to support our Clients’ business growth. While we work diligently to deliver high-quality results, we do not guarantee specific outcomes — including but not limited to a specific number of leads, conversion rates, return on ad spend, sales, or revenue. Marketing performance depends on numerous factors outside our control, including market conditions, advertising platform changes, Client offerings, sales execution, and consumer behavior.

The AdPath website and any informational content we provide are offered “as is” without warranties of any kind, whether express or implied.

11. Limitation of Liability

To the fullest extent permitted by law, AdPath LLC and its owners, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our website or services, including but not limited to lost profits, lost revenue, or business interruption.

In no event shall AdPath’s total liability for any claim related to our services exceed the total fees paid by the Client to AdPath in the three (3) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless AdPath LLC, its owners, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms, your misuse of our services, or your violation of any law or third-party rights.

13. Termination

We may suspend or terminate your access to our website or services at any time, with or without notice, for any reason — including violation of these Terms. Termination of any Client engagement will be governed by the applicable engagement agreement.

14. Governing Law

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict of law principles. Any disputes arising out of these Terms or your use of our services shall be resolved in the state or federal courts located in Kentucky, and you consent to the personal jurisdiction of those courts.

15. Changes to These Terms

We may update these Terms from time to time. The “Last Updated” date at the top of this page reflects the most recent revision. Continued use of our website or services after changes are posted constitutes your acceptance of the updated Terms. Material changes will be communicated to active Clients in writing.
